QWENTIN END USER LICENCE AGREEMENT

IMPORTANT: PLEASE READ THIS AGREEMENT CAREFULLY BEFORE INSTALLING OR USING
QWENTIN. BY INSTALLING OR USING QWENTIN YOU AGREE TO BE BOUND BY THESE TERMS.
IF YOU DO NOT AGREE, DO NOT INSTALL OR USE QWENTIN.

1. GRANT OF LICENCE
────────────────────────────────────────────────────────────────────────────────

Subject to the terms of this Agreement and payment of the applicable licence
fee, Fehed Said ("Licensor") grants you ("Licensee") a non-exclusive,
non-transferable, limited licence to:

(a) Install and use Qwentin on computers that you personally own or control,
    for your personal or internal business use.

(b) Make a reasonable number of copies of Qwentin solely for backup or
    archival purposes.

"Qwentin" means the compiled binary, associated resources, and documentation
distributed by Licensor. Source code is not provided and is not part of this
licence.

2. RESTRICTIONS

You may NOT:

(a) Copy, distribute, sublicence, sell, rent, lease, lend, or otherwise
    transfer Qwentin or your licence key to any third party.

(b) Reverse-engineer, decompile, disassemble, or attempt to derive the source
    code of Qwentin, except to the limited extent permitted by applicable law.

(c) Remove, alter, or obscure any copyright, trademark, or other proprietary
    notices in Qwentin or its documentation.

(d) Use Qwentin to develop a product that competes directly with Qwentin.

(e) Share, sell, publish, or otherwise distribute your licence key to any
    third party.

3. LICENCE KEYS

Qwentin uses cryptographic licence keys. Your licence key is personal to you.
Sharing, selling, or publishing your licence key is a breach of this
Agreement and may result in revocation without refund.

4. TRIAL PERIOD

Qwentin may be used without a licence key for an evaluation period of fourteen
(14) days from first launch. After the trial period expires, a valid licence
key is required to continue using the software. The trial includes full
functionality; no features are disabled.

5. UPDATES AND UPGRADES

A licence for Qwentin v1.x grants access to all v1.x updates at no additional
charge. Upgrades to v2.x or higher may require a separate upgrade purchase at a
discounted price available to existing licence holders. The Licensor is not
obligated to provide any particular updates or upgrades.

6. REFUND POLICY
────────────────────────────────────────────────────────────────────────────────

Purchases are processed by Paddle.com Market Limited as merchant-of-record.
Paddle's standard refund policy (14-day, no-questions-asked for digital
products) applies. Refund requests must be submitted within 14 days of purchase
through Paddle's customer portal or by emailing [support@qwentin.dev].

After a refund is processed, your licence key will be revoked and you must
uninstall Qwentin.

7. THIRD-PARTY SOFTWARE
────────────────────────────────────────────────────────────────────────────────

Qwentin embeds Qwen Code (an AI coding assistant CLI tool developed by Alibaba
Group and licensed under the Apache License, Version 2.0). Qwentin is an
INDEPENDENT PRODUCT and is NOT affiliated with, endorsed by, or sponsored by
Alibaba Group. "Qwen" and "Qwen Code" are trademarks of Alibaba Group.

Qwentin sends AI requests to OpenRouter (openrouter.ai) using the API key you
provide. OpenRouter in turn forwards those requests to whichever model
provider you select (including Alibaba's Qwen). Your use of OpenRouter is
governed by OpenRouter's terms (openrouter.ai/terms) and your use of any
downstream model provider is governed by that provider's terms. Your API key
and all content you send through it are not governed by this Agreement.

Notices and licence texts for all bundled open-source components are in
THIRD_PARTY_NOTICES.md (included with the software).

8. PRIVACY
────────────────────────────────────────────────────────────────────────────────

Qwentin does not transmit your code, messages, API keys, file paths, project
names, or any usage telemetry to the Licensor. The Licensor collects no
analytics, install pings, crash reports, or behavioural data from the
application.

The only network traffic Qwentin originates to Licensor-operated endpoints is:

(a) Auto-update version checks to releases.qwentin.dev (anonymous HTTPS GET);
    and

(b) If you enter a licence key, activation / deactivation / check-in requests
    to the licence service, which include only your licence key and a device
    identifier.

Purchase data (email address and transaction ID) is held by Paddle as
merchant-of-record; see Paddle's privacy policy at paddle.com/legal/privacy.

Prompts, responses, and source code are transmitted directly from your
device to OpenRouter (and onward to your selected model provider) and are
governed by OpenRouter's and that provider's policies, not this Agreement.

9. DISCLAIMER OF WARRANTIES
────────────────────────────────────────────────────────────────────────────────

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QWENTIN IS PROVIDED "AS IS"
WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND
NON-INFRINGEMENT. THE LICENSOR DOES NOT WARRANT THAT QWENTIN WILL BE ERROR-
FREE, UNINTERRUPTED, OR FREE OF SECURITY VULNERABILITIES.

10. LIMITATION OF LIABILITY
────────────────────────────────────────────────────────────────────────────────

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR'S TOTAL
LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATED TO THIS AGREEMENT
SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE LICENCE IN THE TWELVE (12) MONTHS
PRECEDING THE CLAIM. IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR INDIRECT,
INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. GOVERNING LAW

 governing-law clause. Check Paddle's seller agreement before publishing.]

This Agreement shall be governed by the laws of Malaysia. Any disputes shall be
resolved in the courts of Malaysia, without regard to conflict-of-law
principles.

12. TERMINATION
────────────────────────────────────────────────────────────────────────────────

This Agreement is effective until terminated. Your rights under this Agreement
will terminate automatically without notice if you breach any of its terms.
Upon termination you must destroy all copies of Qwentin in your possession.

13. ENTIRE AGREEMENT
────────────────────────────────────────────────────────────────────────────────

This Agreement constitutes the entire agreement between you and the Licensor
with respect to Qwentin and supersedes all prior or contemporaneous
understandings.
